These Terms of Service (“Terms”) govern your use of the websites myhvacoffice.com and mainstreetmep.com, and all services, tools, reports, dashboards, assessments, integrations, digital products, subscriptions, portals, and related offerings (collectively, the “Services”). The websites and Services are owned and operated by HVAC Office Solutions LLC dba Mainstreet MEP™ (“Company,” “we,” or “us”).

By accessing or using any part of the Services, you agree to be legally bound by these Terms, without limitation or qualification. If you do not agree, you may not access or use the Services.

  1. Geographic Restrictions

All Services and access to myhvacoffice.com, mainstreetmep.com, and any associated programs or software are intended solely for users physically located within the United States of America.

We do not knowingly provide Services outside the United States. If you access the Services from outside the U.S., you do so at your own initiative and risk and are responsible for compliance with local laws. We reserve the right to suspend or terminate access if we determine Services are being accessed from outside U.S. jurisdiction.

  1. Scope of Services

The Services may include, without limitation:

  • Financial, corporate, or valuation reports based on customer-provided or connected data
  • Business assessments, including those offered via third-party tools such as the Value Builder System
  • Report delivery through secure portal access and/or to your designated email address
  • Data integrations with third-party accounting systems such as QuickBooks Online (QBO) and future platforms
  • Live dashboard access and historical reporting for active subscribers

We reserve the right to change, suspend, modify, or discontinue any part of the Services at any time, with or without notice, including adding or removing features or modifying subscription tiers.

  1. Account Registration and Responsibility

To access certain features, you may be required to register and provide accurate, current, and complete information.

You are solely responsible for:

  • Maintaining confidentiality of login credentials
  • All activity under your account
  • Ensuring your provided email address remains accurate and secure

You agree to notify us immediately of any unauthorized access or suspected breach of your account.

  1. Fees, Billing, and Refund Policy

Fees may be charged on a one-time or recurring subscription basis. By subscribing or purchasing any product or report, you agree to:

  • Pay all applicable fees using a valid payment method
  • Authorize recurring charges where applicable

Except as expressly required by applicable law, all fees are non-refundable and non-creditable. You understand and agree that onboarding, portal configuration, report preparation, and data integrations require time and operational resources regardless of usage, satisfaction, or future termination.

  1. Data Usage and Client Content

You grant HVAC Office Solutions LLC dba Mainstreet MEP™ the right to access, use, process, and store all data submitted through the Services, including:

  • Personal information
  • Corporate and financial data submitted directly or imported from third-party platforms
  • Assessment responses
  • Uploaded files and communications

We use this data solely to provide the Services described.

  1. Report Delivery and Customer Responsibility

Reports and dashboards may be delivered through:

  • Secure portal access
  • Your designated email address

You acknowledge:

  • Email transmission occurs across networks outside our control
  • We cannot guarantee security once delivered to your email
  • You are responsible for securing your own credentials and devices

You may use reports internally within your business and share them with professional advisors (e.g., CPA, attorney, lender) for legitimate business purposes. You may not reproduce, commercialize, publish, or distribute reports publicly without written authorization.

  1. Data Transmission and Security Disclaimers

While we employ commercially reasonable safeguards consistent with U.S. standards, you acknowledge:

  • No data system or transmission method is 100% secure
  • Data may transmit between systems to provide Services
  • Online transmission carries inherent risks

To the maximum extent permitted by law, Company disclaims liability for unauthorized access, interception, system intrusion, or data loss resulting from circumstances beyond Company’s reasonable control.

  1. Intellectual Property and Anti-Replication Protections

All content, code, reports, dashboards, templates, financial models, data structures, valuation methodologies, visualizations, integrations, workflows, digital materials, and related outputs (collectively, “Proprietary Materials”) are the exclusive property of HVAC Office Solutions LLC dba Mainstreet MEP™ or its licensors.

Access to the Services grants a limited, non-exclusive, non-transferable, revocable license to use Proprietary Materials solely for your internal business purposes.

You may not:

  • Copy, reproduce, duplicate, archive, or redistribute Proprietary Materials
  • Reverse engineer, decompile, disassemble, or extract underlying formulas or structures
  • Create derivative works
  • Replicate report layouts, dashboard architecture, financial categorization logic, or methodologies
  • Use Proprietary Materials to build or assist in building competing reporting or advisory systems
  • Share login credentials or provide unauthorized access

Unauthorized replication constitutes material breach and may result in injunctive relief, damages, and recovery of attorneys’ fees.

  1. Protection of Trade Secrets and Proprietary Information

You acknowledge that the Services provide access to proprietary methodologies, financial frameworks, report structures, dashboard architectures, data categorization logic, valuation models, and related confidential business information (collectively, “Trade Secrets and Confidential Materials”) that constitute trade secrets and proprietary intellectual property of HVAC Office Solutions LLC dba Mainstreet MEP™, protected under the federal Defend Trade Secrets Act (18 U.S.C. §1836 et seq.) and applicable Oklahoma law.

Nothing in these Terms creates or implies an employment, agency, partnership, joint venture, or fiduciary relationship between you and Company. You are a customer accessing Services on a contractual basis only.

As a condition of access, you agree that you will not:

  • Use, disclose, reproduce, or transmit Trade Secrets and Confidential Materials outside the scope of your permitted internal business use
  • Use Trade Secrets and Confidential Materials to design, develop, build, or assist in building a substantially similar reporting, dashboard, valuation, or financial advisory product or service targeted to service trades businesses
  • Reverse engineer or extract proprietary methodologies, formulas, or data structures from any report, dashboard, or output

These obligations are grounded in trade secret and intellectual property law and apply for so long as the information qualifies as a trade secret, and for a minimum of three (3) years from your last access to the Services, regardless of the reason for termination.

Nothing in this section prohibits you from operating your own trade or service business in the normal course, provided you do not misappropriate or replicate Company’s Proprietary Materials or Trade Secrets. Unauthorized use or disclosure constitutes misappropriation of trade secrets and breach of contract, entitling Company to injunctive relief, damages, and attorneys’ fees.

  1. No Warranties; No Professional Advice; No Fiduciary Relationship

All Services are provided “as is” without warranty of any kind. We do not guarantee that:

  • Reports will be error-free
  • Integrations will remain functional
  • Access will be uninterrupted

The Services are provided for informational and educational purposes only and do not constitute legal, tax, accounting, or investment advice. You are solely responsible for consulting qualified professionals before making business decisions.

Nothing in the Services creates a fiduciary, advisory, partnership, agency, or employment relationship between you and Company. You are a customer accessing Services under a contractual license only.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Company’s total cumulative liability arising out of or relating to the Services shall not exceed the total fees paid by you in the three (3) months immediately preceding the claim. Any claim must be brought within one (1) year from the date it first arose or it is permanently barred.

  1. Dispute Resolution and Governing Law

Before initiating arbitration, the parties agree to attempt good-faith resolution. If unresolved after thirty (30) days, the parties agree to participate in non-binding mediation administered by the American Arbitration Association (AAA) in Rogers County, Oklahoma.

If mediation does not resolve the dispute, it shall be resolved exclusively through binding arbitration administered by AAA under its Commercial Arbitration Rules. Arbitration shall occur in Rogers County, Oklahoma and be governed by the Federal Arbitration Act and Oklahoma law.

You waive:

  • Any right to a jury trial
  • Any right to participate in class or representative actions
  1. Injunctive Relief

Company may seek immediate injunctive relief in Oklahoma courts to protect intellectual property, Trade Secrets and Confidential Materials, or to enforce the obligations set forth in Section 9. You consent to personal jurisdiction in Rogers County, Oklahoma for purposes of such relief.

  1. Indemnification and Attorneys’ Fees

You agree to indemnify and hold harmless HVAC Office Solutions LLC dba Mainstreet MEP™, its owners, officers, employees, contractors, and affiliates from claims arising from:

  • Your use of the Services
  • Violation of these Terms
  • Misuse of Proprietary Materials or Trade Secrets

If Company prevails in enforcing these Terms, Company shall be entitled to recover its reasonable attorneys’ fees and enforcement costs. Nothing herein grants you a reciprocal right to recover attorneys’ fees unless required by non-waivable law.

  1. Force Majeure

Company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, cyberattacks, government action, labor disputes, or third-party outages.

  1. Termination

We may suspend or terminate access at any time for violation of these Terms or nonpayment. Termination does not entitle you to a refund except as required by law.

  1. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.

  1. Entire Agreement and Severability

These Terms constitute the entire agreement between you and Company and supersede all prior agreements and understandings. If any provision is held unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions remain in full force and effect.
