These Terms of Service (“Terms”) govern your use of the websites myhvacoffice.com and mainstreetmep.com, and all services, tools, reports, and assessments offered through them. The websites and their services are owned and operated by HVAC Office Solutions LLC, which does business as Mainstreet MEP, a program and DBA of HVAC Office Solutions LLC.

By accessing or using any part of these websites or services, you agree to be legally bound by these Terms, without limitation or qualification. If you do not agree, you may not access or use the websites or any associated services.

1. Geographic Restrictions

All services and access to myhvacoffice.com, mainstreetmep.com, and any associated programs or software are strictly intended for users physically located within the United States of America. You agree not to access or use the websites or any services from outside the U.S., including but not limited to:

  • Connecting software integrations
  • Completing assessments
  • Receiving or viewing reports
  • Accessing your secure client portal

Any use of our services outside of U.S. jurisdiction is unauthorized and constitutes a violation of these Terms.

2. Scope of Services

The services provided through myhvacoffice.com and mainstreetmep.com, either individually or via subscription, may include:

  • Financial, corporate, or valuation reports based on customer-provided or connected data
  • Business assessments, including those offered via third-party tools like the Value Builder System
  • Report delivery through secure portal access and/or to your designated email address
  • Data integrations with third-party accounting systems, such as QuickBooks Online (QBO) and any future platforms (e.g., Xero)
  • Live dashboard access and historical reporting for active subscribers

We reserve the right to change, suspend, or discontinue any part of the Services at any time, with or without notice, including adding or removing features or modifying subscription tiers.

3. Account Registration and Responsibility

To access certain features of the Services, you may be required to register and provide accurate, current, and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Ensuring that your provided email address is accurate and functional

You agree to notify us immediately of any unauthorized access or suspected breach of your account.

4. Fees, Billing, and No-Refund Policy

Fees for services may be charged on a one-time or recurring subscription basis. By subscribing or purchasing any product or report, you agree to:

  • Pay all applicable fees using a valid payment method
  • Allow us to charge your payment method on file for recurring charges (if applicable)

No refunds will be issued under any circumstances.

You understand and agree that setup of your client portal, report generation, and data integrations require time and effort, whether or not you ultimately use the service. For this reason, all fees are non-refundable and non-creditable, regardless of usage, satisfaction, or future termination.

5. Data Usage and Client Content

You grant HVAC Office Solutions LLC / Mainstreet MEP the right to access, use, process, and store all data submitted through the Services, including:

  • Personal information (e.g., your name, email, and business details)
  • Corporate and financial data submitted directly or imported from platforms such as QuickBooks Online (QBO) and any other third-party platforms we integrate with in the future
  • Assessment responses from tools such as the Value Builder System
  • Any uploaded files, communications, or other content provided by you

We use this data solely to provide the services described, such as preparing reports, assessments, and analytics.

6. Report Delivery and Customer Responsibility

Reports and dashboards may be delivered through one or both of the following:

  • Secure portal access
  • Your designated email address

You acknowledge and accept that:

  • Once a report is delivered via email, it travels over networks and systems outside of our control
  • We do not and cannot guarantee the security or integrity of any report once delivered to your email
  • You are solely responsible for ensuring the security of your own email, access credentials, and devices

You agree not to share, reproduce, or distribute any reports or output from our services without written authorization.

7. Data Transmission and Security Disclaimers

While we employ measures consistent with applicable U.S. legal standards to secure your data, you acknowledge the following:

  1. No data system, transmission method, or storage mechanism is 100% secure.
  2. Data may be transmitted between systems through secure, automated connections as part of providing services.
  3. You accept the inherent risks associated with transmitting and storing sensitive business, personal, and financial data online.
  4. HVAC Office Solutions LLC / Mainstreet MEP expressly disclaims all liability for unauthorized access, interception, data breaches, or data loss, whether due to negligence, intrusion, or unforeseen circumstances.

8. Intellectual Property

All content, code, reports, dashboards, tools, logos, trademarks, and service marks provided through the Services are the exclusive property of HVAC Office Solutions LLC / Mainstreet MEP or its licensors. You may not:

  • Copy, modify, reverse-engineer, or distribute any part of the Services
  • Use our intellectual property for commercial purposes without express written consent
  • Claim ownership or authorship of any reports, assessments, or related outputs

9. Non-Compete and Protection of Proprietary Concepts

As a condition of accessing and using any part of the Services, including reports, dashboards, assessments, data structures, visualizations, templates, consulting processes, integrations, or methodologies (collectively, “Confidential Materials”), you agree:

  • You shall not, directly or indirectly, use, replicate, adapt, or derive from any Confidential Materials to develop, operate, or participate in any competing business, service, or software offering in the service trades industry, including but not limited to HVAC, electrical, plumbing, mechanical, building systems, specialty trades, or similar fields.
  • This restriction applies regardless of your role—owner, employee, contractor, consultant, advisor, or investor.
  • This non-compete and non-circumvention obligation applies for seven (7) years from your last access to our Services or receipt of Confidential Materials, whichever is later.
  • You agree not to share, disclose, or assist others in developing competing services derived from our Confidential Materials.
  • You acknowledge and agree that you will be held personally liable for any damages, losses, or legal costs incurred by HVAC Office Solutions LLC / Mainstreet MEP if you distribute, disclose, or otherwise make Confidential Materials accessible to any third party who then uses that information to recreate, duplicate, or compete with our reports, dashboards, or services. This includes but is not limited to situations where you log in, extract, or share formats, templates, or methodologies that are subsequently used by another company or individual to develop competing products or services.
  • Unauthorized use or distribution constitutes breach of contract, misappropriation of trade secrets, unfair competition, and may result in injunctive relief, damages, attorney’s fees, and other legal remedies.

10. No Warranties

All services are provided “as is” and without warranty of any kind, express or implied. We make no guarantees that:

  • Reports or dashboards will be error-free or fit for a particular business decision
  • Data integrations will remain functional with third-party platforms
  • Access to your portal or files will be uninterrupted or without delay

You agree to use our services at your sole risk.

11. Limitation of Liability

To the maximum extent allowed by law, HVAC Office Solutions LLC / Mainstreet MEP shall not be liable for any:

  • Indirect, incidental, consequential, punitive, or special damages
  • Business interruption, data loss, lost revenue, or inaccurate outputs
  • Damages resulting from unauthorized access, breach, transmission issues, or failed delivery

This limitation applies even if we have been advised of the possibility of such damages.

12. Arbitration and Governing Law

Except as otherwise provided in this Section, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding arbitration under the Federal Arbitration Act, with arbitration held in Owasso, Oklahoma, and governed by the laws of the State of Oklahoma (excluding conflict-of-law rules).

You waive any right to a jury trial and agree not to participate in class or representative actions.

13. Exception – Right to Seek Injunctive or Equitable Relief

Notwithstanding the arbitration provision, you agree that HVAC Office Solutions LLC / Mainstreet MEP may seek immediate injunctive or equitable relief in a court of competent jurisdiction, including but not limited to:

  • Preventing or addressing violations of the non-compete or confidentiality provisions
  • Protecting trade secrets, proprietary data, or intellectual property
  • Stopping unfair competition or misappropriation of Confidential Materials

Such claims may be brought in courts located in or governing Owasso, Oklahoma, and you consent to jurisdiction and venue therein.

14. Indemnification

You agree to indemnify, defend, and hold harmless HVAC Office Solutions LLC, Mainstreet MEP, their affiliates, owners, investors, officers, employees, contractors, and licensors from any claims, damages, liabilities, costs, or expenses (including attorney’s fees) arising from:

  • Your use of the Services
  • Violation of these Terms
  • Unauthorized access or breach of your account
  • Any misuse of Confidential Materials or reports

15. Termination

We may suspend or terminate your access to the Services at any time and for any reason, including breach of these Terms or failure to pay fees. Termination does not entitle you to any refund.

16. Changes to Terms

We may update these Terms at any time. Continued use after changes means acceptance of updated Terms.
